Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nrivana service (the "Service") provided by Nrivana, Inc. ("Nrivana", "we", "us"). By signing in, you agree to these Terms and to our Privacy Policy.

1. Who can use Nrivana

You must be at least 18 years old and legally able to enter into a binding agreement. By signing in, you confirm that the information you provide is accurate and that you have the right to link the financial accounts you choose to connect.

2. What Nrivana is

Nrivana is a virtual bank: a software product that offers a Nrivana account whose deposits are held by, and FDIC-insured through, our partner bank — the bank-of-record. Nrivana also provides a consolidated view of any other financial accounts you choose to connect. Nrivana itself does not hold a banking charter, is not a broker-dealer, is not a registered investment adviser, and does not custody your money outside the partner-bank arrangement. Money movement and investment products are operated by the regulated institutions you connect or, in the case of your Nrivana account, by the partner bank.

Information shown in Nrivana is for informational purposes only. It is not financial, investment, tax, or legal advice. You are responsible for your own decisions and for verifying balances and transactions with your underlying institutions.

3. Your account

You sign in to Nrivana through a third-party identity provider (currently Google or Microsoft). You are responsible for keeping that account secure. Nrivana never asks for your bank password. If you believe your account has been compromised, contact us at security@nrivana.productexperts.cc and revoke the third-party session.

4. Linked accounts

When you link a bank account, you authorise Nrivana and our partner Plaid, Inc. to retrieve information about that account on your behalf. You can unlink any account at any time from inside Nrivana, which revokes the underlying authorisation. You agree to comply with the terms of your underlying institutions.

5. Acceptable use

You agree not to:

  • Use the Service to violate any law or any third party's rights.
  • Attempt to gain unauthorised access to the Service, to another user's account, or to any underlying system.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service except to the extent permitted by applicable law.
  • Interfere with the integrity, availability, or performance of the Service.
  • Use the Service to send spam, malware, or other harmful content.

6. Fees

The Service is currently provided without a fee. If we introduce a paid plan in the future, we will notify you in advance and you will have an opportunity to accept or decline before any charge.

7. Intellectual property

Nrivana and its licensors retain all rights, title, and interest in the Service, including all related software, designs, and trademarks. These Terms do not grant you any right to use Nrivana trademarks or branding.

8. Termination

You can stop using Nrivana and close your account at any time from inside the product. Closing revokes linked-bank authorisations and removes the encrypted tokens we store, while ledger records are retained where needed for compliance. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law. Sections that by their nature should survive termination (including without limitation 7, 9, 10, 11, and 12) will survive.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data shown will be accurate or current.

10. Limitation of liability

To the maximum extent permitted by law, Nrivana will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to the Service will not exceed one hundred U.S. dollars (USD 100).

11. Governing law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws principles. Any dispute will be resolved in the state and federal courts located in Delaware, and you and Nrivana consent to the personal jurisdiction of those courts.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email and reflected in the "last updated" date above. Continued use of the Service after such a change constitutes acceptance of the updated Terms.
